1. These Shares were awarded to Mr. Burg in connection with a non-management Director stock award for the 2019 to 2020 service year.

2. These shares of common stock are held for the account of STS Master Fund, Ltd. Deer Park Road Management Company, LP ("Deer Park") serves as an investment adviser to STS Master Fund, Ltd. Mr. Burg is the Chief Investment Officer of Deer Park. Mr. Burg disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Burg is the beneficial owner of these shares for purposes of Section 16 of the Exchange Act of 1934, as amended, or for any other purpose.
